- OBJECTIVES
The objectives of this Association are to:
- Sponsor and conduct educational and informational meetings, seminars and workshops for the purpose of informing members on current research, legislation and practices in all phases of employee compensation including wages, salaries, incentives, benefits, work/life issues and related subjects.
- Encourage and promote the exchange of information, ideas and knowledge in the areas of employee motivation, morale, behavior, work performance, pay and recognition systems, productivity and other issues related to compensation and benefits.
- Promote high standards in the compensation and benefits profession and foster cooperative relations among members.
- ORGANIZATION
- The name of the Association will be The Orange County Compensation and Benefits Association (OCCABA).
- There will be four elected Officers and six appointed Committee Chairs. The Officers and Chairs, along with the immediate Past President, shall form the Executive Committee of the Association.

The duties and responsibilities of the Officers and Committee Chairs shall be, but are not limited to, the following:
PRESIDENT:
1. Presides at all OCCABA meetings. Calls such meetings as required to properly conduct the business of the group.
2. Directs the day-to-day operations of the Association.
3. Appoints Committee Chairs subject to ratification by a majority of the Officers.
4. Chairs the Executive Committee and presides over all Executive Committee meetings.
5. Recommends interim candidates to the Executive Committee for any positions vacated between elections, subject to ratification by a majority of the Executive Committee.
6. Serves as liaison to World at Work, formerly known as the American Compensation Association.
7. Expense approval.
VICE PRESIDENT:
1. Acts for the President during his/her absence, disability or resignation from office. In the case of resignation or death, succeeds to the office of President for the remainder of the term of office.
2. Performs other duties and exercises such powers as the President may assign.
3. Attends Executive Committee meetings.
TREASURER:
1. Manages the financial affairs of the Association.
2. Arranges for periodic audits of OCCABA's bookkeeping records.
3. Insures proper tax reports are prepared and filed with the applicable authority, as required.
4. Reports on the financial condition of OCCABA at its regular Executive Committee meetings.
5. Receives membership dues and meeting fees, and pays approved expenses of the Association.
6. Attends Executive Committee meetings.
SECRETARY:
1. Acts as recording secretary for all Executive Committee meetings, prepares meeting minutes and distributes to Executive Committee members.
2. Handles all general correspondence directed to the Association.
3. Maintains historical records of the Association's activities.
4. Attends Executive Committee meetings.
MEMBERSHIP CHAIR (duties may be shared with third party administrator):
1. Manages the membership activities of the Association.
2. Responds to inquiries regarding membership, receives and processes membership applications and distributes new member materials.
3. Transmits membership fees to Treasurer.
4. Maintains official membership roster, coordinates the preparation and distribution of membership materials and information as appropriate.
5. Develops and conducts programs to increase membership and conducts the annual membership drive.
6. Maintains membership nametags.
7. Attends Executive Committee meetings.
PROGRAMS AND EDUCATION CHAIR:
1. Manages the member program activities of the Association.
2. Arranges for professional, high caliber speakers and audio/visual needs for each member meeting and coordinates needs with Hospitality chair.
3. Acts as host/hostess to speaker during meeting, and sends a letter of appreciation to speakers after the program.
4. Attends Executive Committee meetings.
5. May develop program announcements, and coordinates publication and mailing of program announcements.
PUBLICITY CHAIR (duties may be covered by Vice President if no incumbent Publicity Chair):
1. Manages the press, media and World at Work contacts to publicize organizational events and accomplishments.
2. May develop program announcements, and coordinates publication and mailing of program announcements.
3. May assist in developing materials and programs for membership drive, publicity events, conferences, program announcements, etc.
4. Attends Executive Committee meetings.
HOSPITALITY CHAIR:
1. Manages hotel and audio/visual equipment arrangements for OCCABA meetings.
2. Manages registration function including staffing and materials at OCCABA meetings.
3. Provides new member information to Membership Chair and membership fees and meeting proceeds to Treasurer following OCCABA meetings.
4. Attends Executive Committee meetings.
JOB BANK CHAIR:
1. Maintains job opportunities list.
2. Responds to member inquiries regarding job bank listings.
3. Attends Executive Committee meetings.
WEB SITE CHAIR:
1. Maintains OCCABA’s web site and Internet presence.
2. Updates the web site with relevant material as provided by Executive Committee members.
3. Ensures the OCCABA web site is functional and meets the needs of its visitors.
4. Attends Executive Committee meetings.
- ELECTION OF OFFICERS
- Annually in May, a President, Vice President, Treasurer and Secretary are elected. The election shall be by popular vote and a majority of those voting shall be necessary to elect.
- All Officers must be current on dues payments.
- In April of each year, the President shall appoint a nominating committee of at least three members of the Association. The Committee will be responsible for presenting a slate of candidates for each office.
- Whenever possible, elections will be conducted by popular vote at the next member meeting; otherwise, the results will be tabulated from written ballot, by the nominating committee and announced at the July meeting.
- Nominating Committee members may not nominate themselves and they will be responsible for insuring that candidates for office have an understanding of their prospective roles and commitments as Officers of the Association.
- MEMBERSHIP
- Regular membership is limited to professionals engaged in designing, establishing, executing, administering or managing the compensation and/or benefits function(s), and individuals engaged in related consulting, research or teaching, on a full-time basis. The Executive Committee may make exceptions for members temporarily unemployed. In such cases, membership may be retained for up to 12 months if dues are kept current.
- Maintenance of Membership: Annual membership is maintained by payment of annual dues and compliance with the conditions specified in Section IV.A. It is the responsibility of each member to notify the Association of any changes affecting membership status. Members must abide by the bylaws governing the Association.
- Suspension or Expulsion: Members may be suspended or expelled from the Association for good reason after a hearing by the Executive Committee. "Good reason" is defined as failure to adhere to generally accepted standards of professional conduct or abusing the privileges of membership.
- Nondiscrimination: The qualifications for membership and for holding office will be defined without regard to age, sex, race, national origin, disability, or other factors as prohibited by law.
- Applications: Application for membership shall be made by utilizing the approved application form and submitting membership dues. Applications shall be reviewed by the Membership Chair and recommendations may be submitted for approval to the Executive Committee for ratification.
- The membership year runs from June 1 through May 31 of the following year.
- The Web Site Chair will be a computer professional and will not be required to maintain a paid membership with OCCABA. A nominal fee will be paid to the Web Site Chair for services rendered. Appropriate fees will be determined each year by a majority vote of the Executive Committee.
- POLITICAL ACTIVITIES
- No substantial part of the activities of the Association shall be the carrying on of propaganda, or otherwise attempting to influence legislation. The Association shall not participate in, nor intervene in any political campaign on behalf of any candidate for public office (this includes publishing and distributing political statements).
- DISSOLUTION, DISBURSEMENTS
- Upon dissolution of the Association, after paying or adequately providing for the debts and obligations of OCCABA, the remaining assets shall be distributed by the Executive Committee to a non-profit fund, foundation or corporation which is organized and operated exclusively for education and/or scientific purposes and which has established its tax-exempt status under Section 501(c)3 of the Internal Revenue Code of 1954, as amended.
- No part of the net earnings of this Association shall ever inure to, or be for the benefit of, or be distributable to, its members, trustees, officers, or other private persons except that OCCABA shall be empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the explicit, tax-exempt purposes for which it was formed.
- Notwithstanding any other provision of these articles, the Association shall not carry on any other activities not permitted by an organization exempt from Federal income tax under Section 501(c)3 of the Internal Revenue code of 1954, as amended.
- AMENDMENT OF THE BYLAWS
- These bylaws may be amended by submitting the proposed amendment to the Executive Committee at least 30 days prior to a general meeting of the membership. After approval by a majority vote of the full Executive Committee, the amendment will be presented at the next regular general meeting of the membership where it must be passed by a two-thirds vote of the members in attendance and voting.
