Katherine E. Mahlum is a Vice President with Pearl Meyer located in the Firm’s Los Angeles Office. Ms. Mahlum’s experience includes the design of executive compensation and variable pay programs, board of directors’ compensation, best practices in corporate governance, IRC Section 280G calculations associated with a change-in-control, proxy/CD&A disclosure, reasonable compensation analysis and retention programs. Katherine has advised both non-profit and for-profit organizations. Her industry experience includes healthcare, financial services, REITs, technology, education, retail and professional services as well as over 18 years of experience with Pearl Meyer.

Ms. Mahlum has spoken at events hosted by Woman’s Corporate Directors Group, NW Rewards, Western Independent Bankers Association and California Bankers Association.  In addition, she has published articles on compensation and governance for Western Independent Banker and Bank Director on topics such as “Linking Compensation Plan Design To Shareholder Value”, “Creating Engagement Through Executive Compensation Communication” and “Six Effective Compensation Committee Practices”.

Katherine received a Masters in Business Administration from San Diego State University and a Bachelors of Science from the University of California, Santa Barbara. 

Pearl Meyer administers the National Association of Corporate Directors Governance Survey. It is a critical planning tool and the survey is geared to compensation professionals and is used by Board Presidents, Committees, Chairs, and executive planning teams to:

  • Identify areas for improvement in current governance practices, including board composition, structure, succession planning and risk oversight; 
  • Determine the levels and types of compensation that is appropriate based on organizational size, sector, and the roles and responsibilities of Board members; 
  • Institutional investor issues related to the appropriateness of Board compensation.
  • Inform your board’s philosophy for designing executive compensation plans; 
  • Benchmark your board’s strategic priorities; and 
  • Compare relative time allocation to fulfilling key board activities.
